Terms of Service
Effective October 13, 2026
The short version
- WorkHorse helps you prepare reports such as Form WH-347. You stay responsible for checking, signing and submitting them.
- Your data stays yours. We use it only to provide the service.
- Keep your sign-in secure and use WorkHorse only for your own business.
- The service is provided “as is”, and our liability is limited.
These Terms of Service (the “Terms”) are an agreement between Wisdom Way Tech (“we”, “us”) and the business that uses WorkHorse (“Customer”, “you”). They cover the WorkHorse web application and related services (the “Service”). By creating an account, signing in, or using the Service, you agree to these Terms on behalf of your business. If you do not agree, do not use the Service.
1. The Service
WorkHorse is a web application for small businesses. Its features include certified payroll report preparation (Form WH-347) and conversion of QuickBooks check registers into bank positive-pay files. The features available to you depend on the modules your business is licensed for. We may improve, change or retire features over time. If a change materially reduces a feature you pay for, we will tell you in advance.
2. Accounts
- We create each customer company. The company’s administrator invites and manages the company’s users.
- You are responsible for all activity under your company’s accounts and for making sure your users follow these Terms.
- Keep passwords confidential and tell us promptly at the address below if you suspect unauthorized access.
- The information you give us about your company and users must be accurate and kept up to date.
3. License to use WorkHorse
While you are in good standing, we grant you a limited, non-exclusive, non-transferable right to use the Service for your business’s internal operations. You may not:
- resell, sublicense or provide the Service to third parties, except for preparing reports for your own business;
- copy, modify, reverse engineer or try to extract the Service’s source code, except where the law allows despite this restriction;
- access another company’s data, probe or bypass security controls, or interfere with the Service’s operation;
- upload malicious code, or information you have no right to share; or
- use the Service in violation of any law.
We and our licensors own the Service and all rights in it. These Terms grant you no rights except those stated here.
4. Your data
You keep all rights to the information you enter, upload or connect to the Service (“Customer Data”). You grant us permission to host, process and display Customer Data only as needed to provide and support the Service, keep it secure, and comply with the law. We handle Customer Data as described in our Privacy Policy.
You confirm that you have the right to provide Customer Data to us, including any notices or consents your workers must receive under applicable law. This includes personal information about your workers, such as Social Security numbers.
5. Your responsibility for reports and compliance
WorkHorse is a tool that prepares documents from information you provide. It is not a payroll service, and we do not provide legal, tax, accounting or compliance advice. In particular:
- Reports are only as accurate as the data, wage rates and classifications you enter or import.
- Before signing or submitting any report, including the Statement of Compliance on Form WH-347, you must review it and confirm that it is accurate and complete.
- You remain solely responsible for paying correct wages and fringe benefits, for meeting Davis-Bacon and related requirements, and for submitting and keeping records as the law requires.
- Warnings the Service shows (for example, about possible pay problems) are aids, not guarantees. The absence of a warning does not mean a report is correct.
6. QuickBooks and other third-party services
You may choose to connect the Service to QuickBooks Online or other third-party services. Your use of those services is governed by their providers’ terms, and the providers are responsible for them. Wisdom Way Tech is not affiliated with or endorsed by Intuit Inc. QuickBooks is a trademark of Intuit Inc. We are not responsible for the availability of third-party services or for changes to them that affect the Service. You can disconnect a third-party service at any time.
7. Fees
Fees for the Service, if any, are set out in your order or written agreement with us. Unless that agreement says otherwise, fees are not refundable, and we may suspend access to paid modules if fees go unpaid after notice.
8. Availability and support
We work to keep the Service available and secure, but we do not promise that it will be uninterrupted or error-free. We may perform maintenance, sometimes without advance notice. Support is provided by email at the address below.
9. Suspension and termination
- You may stop using the Service at any time by contacting us.
- We may suspend or terminate access if you materially breach these Terms, if your use threatens the security or operation of the Service, or if the law requires it. Where practical, we will give notice first and a chance to fix the problem.
- After termination, you may request an export of your Customer Data within 30 days. We then delete it as described in our Privacy Policy.
- Sections 3 (ownership), 4, 5, 10, 11, 12 and 14 survive termination.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT REPORTS PRODUCED BY THE SERVICE WILL SATISFY ANY GOVERNMENT AGENCY, CONTRACTING OFFICER OR LEGAL REQUIREMENT.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, OR FOR FINES, PENALTIES, BACK WAGES OR CONTRACT WITHHOLDINGS, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU PAID NOTHING.
12. Indemnification
You will defend and indemnify Wisdom Way Tech against third-party claims, including claims by government agencies or your workers, that arise from Customer Data, from reports you sign or submit, or from your violation of these Terms or the law.
13. Changes to these Terms
We may update these Terms from time to time. We will post the new version here with a new effective date and, for material changes, notify customer administrators by email or in the app at least 30 days before the changes take effect. If you continue to use the Service after that date, you accept the updated Terms.
14. General
- Governing law. These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. The state and federal courts located in Michigan have exclusive jurisdiction over any dispute.
- Entire agreement. These Terms, the Privacy Policy and any order or written agreement with us form the entire agreement. If a written agreement conflicts with these Terms, the written agreement controls.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger or sale of our business.
- Severability and waiver. If any provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it.
